Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Handler, Handler Bidder Suite, related websites, applications, communications, AI-assisted workflows and integrations (collectively, the “Services”). The Services are operated by JoinBoomerang, LLC, a Florida limited liability company (“JoinBoomerang,” “Handler,” “we,” “us,” or “our”). By creating an account, accepting an invitation, or using the Services, you agree to these Terms for yourself and, when applicable, the organization you represent.
1. Accounts and authority
You must provide accurate information, keep credentials secure, and be authorized to act for any business or organization whose account you use. You are responsible for activity under your account and for promptly notifying us of suspected unauthorized access.
2. Handler services
Handler provides AI-assisted business communications, call handling, scheduling, bidder administration, document collection, compliance workflows, project coordination and related software. Features may vary by plan and may evolve over time.
3. Bidder Suite
Bidder Suite may process project records, bidder and subcontractor data, certificates of insurance, W-9 forms, bidder agreements, licenses, prequalification information, communications and other business records. You are responsible for determining what information you are legally permitted to collect, share, rely upon and retain, and for establishing your own procurement, insurance, contractual and compliance requirements.
4. AI-assisted features
The Services may use artificial intelligence to extract document fields, summarize communications, identify missing requirements, classify records, recommend actions and automate administrative follow-up. AI outputs may be incomplete or incorrect and are not legal, tax, insurance, accounting, safety, engineering or other professional advice. You remain responsible for final bid, award, compliance and business decisions.
5. Communications
When you enable email, SMS, voice or other communications, you authorize Handler to send or facilitate business-related messages based on your configuration. You are responsible for obtaining legally required consent and complying with opt-out, telemarketing, call-recording and similar requirements applicable to your organization.
6. Customer Data
You retain ownership of data and content you submit (“Customer Data”). You grant JoinBoomerang a limited right to host, copy, transmit, process and use Customer Data as necessary to provide, secure, support and improve the Services, comply with law, and carry out your configured instructions. You represent that you have the rights and permissions required to provide Customer Data to us.
7. Third-party integrations
The Services may connect with third-party systems such as ShareFile, construction management platforms, procurement software, email providers, CRM systems, accounting tools and e-signature providers. Third-party products are governed by their own terms and privacy practices. We are not responsible for third-party systems or data outside our control, and integration availability may change.
8. Fees and subscriptions
Paid Services are billed according to the plan, order form or checkout terms presented to you. Unless otherwise stated or required by law, fees are non-refundable. You are responsible for applicable taxes other than taxes on our net income. We may change future pricing with reasonable notice.
9. Acceptable use
You may not use the Services to violate law, infringe rights, transmit malicious code, gain unauthorized access, interfere with system security, impersonate another person or company, commit fraud, or engage in unlawful or deceptive conduct.
10. Confidentiality and security
Each party will use reasonable care to protect non-public confidential information received from the other. We maintain administrative, technical and organizational safeguards designed to protect Customer Data, but no system can guarantee absolute security.
11. Intellectual property
JoinBoomerang and its licensors own the Services, software, interfaces, workflows, designs, documentation, trademarks and improvements, excluding Customer Data. No rights are transferred except the limited right to use the Services under these Terms.
12. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access for material breach, unlawful use, security risk, nonpayment, or where continued use would create material risk to us, our customers or third parties.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT SERVICES OR AI OUTPUTS WILL BE ERROR-FREE, UNINTERRUPTED OR SUITABLE FOR A PARTICULAR PROCUREMENT, INSURANCE OR COMPLIANCE DECISION.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOINBOOMERANG WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OR LOSS OF PROFITS, REVENUE, GOODWILL OR DATA. EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, OUR AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU USED ONLY FREE SERVICES.
15. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Venue for disputes will lie in the state or federal courts located in Palm Beach County, Florida, except where applicable law requires otherwise.
16. Changes
We may update these Terms as the Services evolve. We will post revised Terms with a new effective date, and may provide additional notice for material changes. Continued use after changes become effective constitutes acceptance to the extent permitted by law.
